1. Acceptance of These Terms

These Terms of Service form a legally binding agreement between you and mployAIsolutions ("we," "us," or "our"). They govern your access to and use of our websites, software platforms, applications, APIs, and AI-assisted services, collectively referred to as the "Services."

By accessing or using the Services, or by accepting these Terms electronically, you confirm that you have read, understood, and agree to be bound by them. If you do not agree, you must not access or use the Services.

If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Nature of the Services and AI-Assisted Functionality

The Services include AI-assisted features that generate outputs such as recommendations, text, summaries, analysis, classifications, or other automated responses ("AI Outputs").

You acknowledge and agree that:

  • AI Outputs are generated algorithmically
  • AI Outputs may vary based on input, context, and system conditions
  • AI Outputs are assistive, not deterministic or authoritative
  • AI Outputs do not constitute professional, legal, financial, medical, or compliance advice

The Services are designed to support human decision-making, not replace it.

3. Changes to These Terms

We may update these Terms from time to time. Updated Terms take effect when posted.

Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

4. Enterprise Access and Availability

The Services are intended for enterprise, institutional, and commercial use.

We may modify, suspend, or discontinue any portion of the Services to maintain security, improve performance, comply with legal obligations, or evolve the platform.

We do not guarantee uninterrupted availability. Temporary outages may occur due to maintenance, upgrades, or events beyond our reasonable control.

5. Accounts, Credentials, and Security

You are responsible for:

  • Maintaining the confidentiality of credentials
  • Limiting access to authorized users
  • Ensuring compliance with these Terms by your users
  • Promptly reporting suspected security incidents

You remain responsible for all activity conducted through your account, including AI-assisted interactions.

6. Acceptable Use of AI Services

You may use the AI-assisted Services only for lawful, ethical, and authorized business purposes.

You must not:

  • Use AI Outputs as the sole basis for decisions with legal, financial, employment, academic, or regulatory impact without human review
  • Input personal, confidential, or regulated data unless permitted by applicable agreements and law
  • Attempt to extract model logic, training data, or system parameters
  • Use the Services to generate misleading, harmful, discriminatory, or unlawful content
  • Represent AI Outputs as human-generated or guaranteed factual

We reserve the right to restrict or suspend access where misuse is reasonably suspected.

7. AI Outputs and Responsibility

AI Outputs are provided "as generated" and may contain inaccuracies, omissions, or unintended results.

You acknowledge and agree that:

  • You are solely responsible for reviewing, validating, and approving AI Outputs before use
  • You assume all risk associated with reliance on AI Outputs
  • mployAIsolutions does not guarantee accuracy, completeness, or suitability of AI Outputs for any purpose

Human oversight remains required at all times.

8. Data Use and Model Training

Unless otherwise agreed in writing:

  • Customer data is not used to train shared or public AI models
  • Inputs and outputs may be processed to operate, secure, and improve the Services
  • Aggregated and anonymized data may be used for analytics and service improvement

Data handling is governed by our Privacy Policy and applicable Canadian privacy legislation, including PIPEDA.

Enterprise customers may be subject to additional data processing agreements.

9. Intellectual Property

All software, AI models, system designs, workflows, and documentation are owned by mployAIsolutions or its licensors.

You retain ownership of your input data. Subject to these Terms, you may use AI Outputs internally for your business purposes.

You may not:

  • Claim ownership of the underlying AI models
  • Use AI Outputs to develop or train competing products
  • Reverse engineer or extract system logic

All rights not expressly granted are reserved.

10. Third-Party AI and Integrations

The Services may incorporate or integrate with third-party AI models or platforms.

We do not control third-party systems and are not responsible for their availability, performance, or outputs. Use of third-party services is governed by their respective terms.

11. Privacy and Confidentiality

Personal information is handled in accordance with our Privacy Policy and applicable Canadian law.

You are responsible for ensuring that any data you provide to the Services is lawfully collected and authorized for processing.

12. Disclaimers

The Services, including AI-assisted features and AI Outputs, are provided "as is" and "as available."

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, reliability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

  • AI Outputs will be error-free
  • Outputs will meet regulatory or compliance requirements
  • AI behavior will be predictable or consistent

13. Limitation of Liability

To the maximum extent permitted by law, mployAIsolutions will not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, profits, or business opportunities.

Our total liability will not exceed the fees paid by you for the Services in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless mployAIsolutions from claims arising from:

  • Your use or misuse of AI Outputs
  • Decisions made based on AI-assisted results
  • Violations of these Terms or applicable law

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein.

Any legal proceedings must be brought in the courts of British Columbia, Canada.

16. Limitation Period

Any claim must be commenced within one year of the event giving rise to the claim, unless otherwise required by law.

17. Feedback

Feedback may be used to improve the Services, including AI features, without obligation or compensation.

18. Entire Agreement

These Terms, together with our Privacy Policy and any enterprise agreement or data processing addendum, constitute the entire agreement regarding the Services.
